TERMS OF USE

1. Introduction

Welcome to the LG Appliance Parts Store ("Store"), an online marketplace operated by LG Electronics U.S.A., Inc. ("LG," "we," "our," or "us"), through which customers may browse, purchase, and receive genuine replacement parts and accessories for eligible LG appliances ("Products").

These Terms of Use ("Terms") govern your access to and use of the Store, including all websites, mobile applications, content, functionality, digital services, customer support features, and online purchasing services made available through the Store.

Please read these Terms carefully. Among other provisions that affect your legal rights, these Terms include a binding individual arbitration requirement and class action waiver set forth in Section 21, which, subject to limited exceptions, requires you and LG to arbitrate any disputes related to your use of the Store on an individual basis. Arbitration on an individual basis means that neither party will have the right for a judge or jury to decide its claims or to proceed in a class, consolidated, or representative capacity.

By (a) accepting these Terms using a mechanism made available on the Store or (b) otherwise accessing or using the Store (including by creating an account, placing an order, or otherwise interacting with the Store), except for the limited purpose of reviewing these Terms or other terms or policies posted on the Store, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must discontinue use of the Store immediately. If you later seek to repudiate these Terms or any aspect thereof, you agree that such action would constitute a breach of these Terms, prohibiting you from enforcing any aspect of the Terms and entitling us to damages resulting from your breach.

If you are an individual using the Store on behalf of, or for the benefit of, any corporation, partnership, or other entity with which you are associated (an "Organization"), you are agreeing to these Terms on behalf of yourself and such Organization, and you represent and warrant that you have the legal authority to bind such Organization to these Terms. In that case, references to "you" and "your" in these Terms refer to both you, the individual using the Store, and to the Organization you represent.

2. Eligibility

You represent and warrant that you:

• are at least eighteen (18) years of age and have reached the age of majority in your jurisdiction of residence;
• have the legal capacity to enter into binding agreements;
• will use the Store only for lawful purposes; and
• will provide accurate and complete information.

LG may refuse service or terminate access if these requirements are not met.

3. Scope of Services

The Store provides an online platform that enables customers to:

• search appliance replacement parts;
• identify compatible parts using appliance model information;
• purchase genuine LG replacement parts;
• purchase approved accessories;
• review order history;
• track shipments; and
• access installation resources when available. Installation of appliance parts may involve electrical, gas, water, or mechanical hazards. LG recommends seeking assistance from qualified service professionals where appropriate. You assume all risks associated with installation, maintenance, or use of Products purchased through the Store.

Part compatibility tools, model lookup features, diagrams, specifications, and installation resources are provided for informational purposes only and may not be complete or accurate in all circumstances. Customers remain solely responsible for verifying part compatibility, suitability, and proper installation prior to purchase or use.

LG reserves the right to modify, suspend, or discontinue any feature of the Store at any time without prior notice. These Terms shall automatically apply to all improvements and modifications to the Store.

4. Additional Terms

Certain aspects of the Store may be subject to additional terms, conditions, rules, or guidelines ("Additional Terms"), and we may provide such Additional Terms to you via postings, pop-up notices, links, or other reasonable means. For example, the Terms of Purchase discussed in Section 8 are Additional Terms.

All Additional Terms are hereby incorporated by reference into these Terms. As such, any reference to the "Terms" herein includes the Additional Terms. If there is a conflict between the provisions herein and any Additional Terms, the Additional Terms shall control, but only to the extent of the conflict.

5. Privacy

Please review our Privacy Policy, which governs your submission of personal information through the Store. The Privacy Policy is hereby incorporated into these Terms by reference.

Accordingly, by agreeing to these Terms, you are hereby representing to LG that you understand and accept how we collect, use, and disclose information concerning your use of the Store, as set forth in our Privacy Policy. You understand and agree that (a) LG is justifiably relying on this representation in granting you access to the Store and (b) if you later take legal action inconsistent with this representation, this will constitute evidence that your representation was false. In that case, LG may elect to terminate these Terms, without prejudice to our ability to seek damages resulting from your breach. If you do not agree to the practices described in our Privacy Policy, you may not use the Store or provide us with any information.

6. Video Content & Cookies

The Store may contain video content, audiovisual content, or content of a like nature (collectively, "Video Content"). Video Content is provided for the purpose of enhancing the user experience of the Store and is, therefore, provided in connection with LG's business activities in the field of appliance sales. LG is not in the business of renting, selling, or delivering Video Content in a commercial manner. As such, you acknowledge and agree that LG is not a "video tape service provider," as defined in the Video Privacy Protection Act ("VPPA"), 18 U.S.C.A. § 2710 or similar state laws.

Additionally, the Store may include online technologies and code-based tools, including cookies, pixels, web beacons, and software development kits (collectively, "Cookies"), that track and analyze information about your activity on the Store, including when you access pages containing Video Content (your "Site Activity"). Cookies may result in information about your Site Activity being transmitted from your browser to LG or to third parties, which, in turn, may result in the display of targeted advertisements on the Store or third-party websites, services, or platforms (collectively, "External Sites"). Whether Cookies on the Store result in your browser's transmission of information to third parties depends on a number of factors that may be outside of our knowledge or control, including what External Sites you use, what information you have provided to External Sites, and whether and the extent to which you have limited the use of Cookies by External Sites.

You hereby acknowledge and agree that, if Cookies on the Store result in your browser's transmission of information to External Sites, (a) such transmissions do not constitute a "knowing disclosure" of "personally identifiable information" by LG under the VPPA — LG does not intend for any such transmission to constitute a disclosure of personally identifiable information under applicable law — and (b) you will not initiate any litigation or otherwise assert any claim against LG based, in whole or in part, on such transmissions, whether under the VPPA, the California Invasion of Privacy Act (Cal. Penal Code § 630 et seq.), or any other statute, regulation, or cause of action.

7. User Accounts

Certain features require an LG Account.

If you create an account, you agree to:

• maintain accurate registration information;
• safeguard your password;
• notify LG immediately of unauthorized account access;
• not act in a false or misleading manner during the account creation process; and
• accept responsibility for all activity under your account.

LG may suspend or terminate accounts involved in fraud, abuse, or unauthorized activities.

8. Terms of Purchase

Any purchases made by you through the Store are governed by our Terms of Purchase, which are hereby incorporated by reference into these Terms.

9. User Content

The Store may permit users to submit, post, transmit, upload, share, or make available ("submit") ratings, reviews, photographs, videos, comments, questions, or other content ("User Content").

User Content has not necessarily been reviewed or approved by LG, and we, therefore, make no representations or warranties as to the accuracy, reliability, completeness, timeliness, or any other aspect of any User Content. Any views or opinions expressed in User Content belong to the users who shared the content and not to LG. Your reliance on any User Content is done entirely at your own risk. You understand and agree that we are not responsible for, and shall have no liability related to, any User Content, including your reliance on such content. If you post any User Content, you are entirely responsible for that content.

By submitting User Content, you represent and warrant that:

• you own the User Content or you have obtained all rights and permissions needed to grant the User Content License to LG and, if the latter, that you have not altered or deleted any legal notice or copyright information attached to the User Content by the owner of such content;
• the content is accurate to the best of your knowledge;
• the content does not infringe the intellectual property or privacy rights of any third party;
• the content does not contain unlawful, fraudulent, defamatory, obscene, threatening, discriminatory, or misleading material.

You are solely responsible for the User Content you submit.

User Content may contain technical, repair, or product-related information that has not been reviewed or verified by LG. LG does not endorse or guarantee the accuracy, safety, completeness, or usefulness of any User Content.

10. License Granted to LG

By submitting User Content, you grant LG and its affiliates a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to (a) use, reproduce, modify, adapt, publish, translate, distribute, display, perform, create derivative works from, and otherwise exploit such User Content for any purpose, commercial or otherwise, and (b) use your name in connection with your User Content when exercising the foregoing rights (the foregoing grant of rights, the "User Content License"). We may sublicense the rights granted under the User Content License through multiple tiers of sublicenses. You acknowledge that you are not entitled to any monetary payment or other consideration in connection with our use of your User Content pursuant to the User Content License. The User Content License survives the termination of your account, subject to applicable law.

You understand and agree that, pursuant to the User Content License, if you share User Content containing any ideas, know-how, proposals, techniques, suggestions, or similar concepts (collectively, "Ideas"), (a) such User Content will not be deemed confidential and (b) we shall be free to use such Ideas for any purpose, commercial or otherwise. At the same time, you acknowledge we may independently conceive, or receive from other sources, Ideas that are similar or identical to your Ideas, and, as such, any similarity between your Ideas and our Products may be merely coincidental. You agree that you will not be entitled to any compensation, consideration, or attribution from LG in connection with your Ideas, whether on account of LG's use of such Ideas, any similarity between your Ideas and our Products, or otherwise.

Notwithstanding anything to the contrary in this Section 10, the User Content License does not apply to personal information included in User Content that is not intended for public display ("Private Submissions"), such as personal information submitted when creating an account. Personal information included in Private Submissions shall be treated in accordance with our Privacy Policy. For clarification, the remainder of the User Content in question (i.e., everything except the personal information) is subject to the User Content License. Further, personal information included in User Content intended for public display on the Store is licensed to us pursuant to the User Content License.

11. User Content Moderation

LG reserves the right, but is not obligated, to screen, monitor, edit, remove, refuse to publish, or otherwise moderate User Content at its sole discretion.

Without limiting the preceding paragraph, LG may take any of the above actions with respect to content that:

• violates these Terms;
• contains offensive language;
• promotes illegal activities;
• includes personal information;
• contains advertising or solicitation;
• is determined to be spam or fraudulent;
• is stale or off-topic for the applicable portion of the Store.

LG does not guarantee that all submitted User Content will be published. To be clear, however, LG undertakes no obligation to monitor, screen, remove, or modify any User Content, except to the extent required by applicable law.

The appearance of User Content on the Store does not constitute LG's approval, endorsement, verification, or adoption of such content.

You hereby waive any claims related to or resulting from any action or inaction of LG with respect to screening, monitoring, editing, removing, refusing to publish, or otherwise moderating User Content.

Notwithstanding anything to the contrary, nothing in these Terms prohibits or restricts your ability to express or publish any review, performance assessment, or similar analysis (collectively, "Reviews") about LG, its employees or agents, or its Products, to the extent that such Reviews are protected under applicable law, including any (a) "statement" protected by Cal. Civ. Code § 1670.8 or (b) "covered communication" as defined by the Consumer Review Fairness Act, 15 U.S.C.A. § 45b.

12. Intellectual Property

All contents of the Store, including:

• trademarks;
• service marks;
• trade names;
• logos;
• product names;
• software;
• source code;
• databases;
• graphics;
• photographs;
• videos;
• text;
• technical drawings;
• exploded-view diagrams;
• page layouts;
• downloadable materials; and
• other content,

(collectively, the "Content") is owned by LG or its licensors, may be protected by United States and international intellectual property laws or other proprietary rights, and may not be used in any manner without prior written permission of LG or its licensor, as applicable. As the Content is a component of the Store, any reference to the "Store" herein includes the Content.

Nothing contained in these Terms transfers ownership of any intellectual property rights in the Content to you.

13. Limited License

Subject to your compliance with these Terms, LG grants you access to the Store subject to a limited, revocable, non-exclusive, non-transferable license (the "License") for the limited purpose of accessing and using the Store for your personal or internal business purposes. The License is available to you unless and until you or we terminate these Terms, we otherwise suspend or terminate your access to the Store, or you are barred from using the Store by applicable law. LG reserves all right, title, and interest not expressly granted under the License to the fullest extent possible under applicable law.

Under the License, you are permitted to use the Store solely in the following limited ways: (a) you may access and browse the Store, and use the features made available to you, using a device that you own or are authorized to use (an "Authorized Device"); (b) you may download the Content from the Store to an Authorized Device and print out a hard copy, provided that you do not modify the Content in any way and do not remove or alter any copyright or other legal notice; (c) you may install a copy of any mobile applications that we make available from time to time (collectively, the "Apps") on an Authorized Device; and (d) your Authorized Device may temporarily store copies of the Content incidental to your use of the Store.

Except to the extent authorized by applicable law, you may not otherwise download, upload, copy, print, display, perform, post, reproduce, adapt, create derivative works from, publish, license, transmit, distribute, use, or exploit any Content without the prior written consent of LG or, if applicable, our licensor. Any unauthorized use of the Content may violate copyright laws, trademark laws, and other applicable laws. You agree to comply with reasonable written requests from us to help us protect our proprietary and intellectual property rights.

The Store is intended for users genuinely interested in the Products. Under no circumstances may the Store be used for the purpose of, or with the intention of, initiating litigation or arbitration, including using the Store in order to trigger or induce an alleged violation of any law ("Litigation Purposes"). You may not access or use the Store in a manner intended to interfere with, disrupt, or improperly exploit Store functionality, including for abusive or bad-faith litigation-related activities.

Use of the Store for Litigation Purposes is strictly prohibited, exceeds the parameters of the License, and, as such, constitutes a breach by you of these Terms. In such circumstances, we may elect to terminate these Terms, without prejudice to our ability to seek damages, including attorneys' fees, resulting from your breach.

14. Prohibited Activities

You agree not to use the Store to:

• violate any applicable law or regulation;
• interfere with Store operations;
• attempt unauthorized access to systems or accounts;
• upload malicious software or harmful code;
• impersonate another individual or entity;
• engage in fraudulent transactions;
• submit false product information;
• interfere with security features;
• circumvent payment controls;
• misuse promotional offers;
• purchase Products for unlawful resale where prohibited;
• interfere with other users' enjoyment of the Store.

Violation of this Section 14 may result in suspension or permanent termination of access.

LG has the right, but not the obligation, to monitor the Store for the purpose of determining and enforcing compliance with these Terms.

We reserve the right to disclose any information, including your identity, account information, and Site Activity, as we deem necessary to (a) enforce these Terms; (b) satisfy any applicable law, regulation, legal process, or governmental request; or (c) respond to claims that the Store or your activities in connection therewith violate the rights of third parties.

You hereby waive any claims related to or resulting from any action or inaction of LG with respect to (a) monitoring the Store; (b) determining or enforcing compliance with these Terms; or (c) cooperating with law enforcement or a governmental request concerning any matter related to the Store.

15. Automated Access and Data Scraping

Except as expressly authorized in writing by LG, you may not use any automated technology to access or interact with the Store, including but not limited to:

• bots;
• crawlers;
• spiders;
• scraping tools;
• automated purchasing software;
• artificial intelligence data collection tools;
• machine learning training tools;
• robotic process automation systems.

You may not harvest product data, pricing information, inventory data, customer reviews, images, or other Store content for commercial purposes.

LG reserves the right to employ technical measures to detect, prevent, or block unauthorized automated access.

16. Commercial Resale Restrictions

Unless expressly authorized in writing by LG, Products purchased through the Store are intended for end-user use only.

Customers may not purchase Products for:

• unauthorized resale;
• gray market distribution;
• export in violation of applicable laws;
• counterfeit substitution;
• commercial redistribution using LG trademarks.

LG reserves the right to reject orders reasonably believed to be intended for unauthorized commercial resale.

17. Website Availability

LG strives to maintain continuous access to the Store; however, uninterrupted availability cannot be guaranteed.

The Store may be temporarily unavailable due to:

• scheduled maintenance;
• emergency maintenance;
• software updates;
• cybersecurity incidents;
• telecommunications failures;
• third-party service interruptions;
• natural disasters.

LG is not liable for temporary service interruptions or loss of access.

Product availability, pricing, inventory status, specifications, and estimated delivery dates are subject to change without notice and are not guaranteed until an order has been accepted by LG.

18. Third-Party Services

The Store may contain links to third-party websites, payment processors, shipping carriers, repair resources, or other External Sites.

LG does not control External Sites and is not responsible for:

• their availability;
• their privacy practices;
• their security;
• their content;
• their products or services.

Your use of External Sites is governed by the applicable third-party terms and policies.

LG shall not be responsible for the acts, omissions, delays, failures, or conduct of third-party service providers, including payment processors, carriers, repair resources, or external platforms.

19. Disclaimer of Warranties; Limitation of Liability

A. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Store is provided on an "as is" and "as available" basis. LG expressly disclaims all warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Without limiting the preceding paragraph, LG makes no warranty that (a) the Store will meet your requirements; (b) the Store will be uninterrupted, timely, secure, or free of viruses, errors or other harmful components; (c) the Content will be accurate or reliable; (d) the quality of any features, information, or other material accessed or used by you through the Store will meet your expectations; or (e) any errors on the Store will be corrected. It is your responsibility to evaluate the accuracy, completeness, and usefulness of any information, opinion, advice, or other content available through the Store and to consult professionals as needed in such evaluation.

For clarity, the disclaimers in this Section apply only to the Store, Content, and related online services. Any warranty accompanying a Product shall be governed exclusively by the written warranty provided with such Product and applicable law.

B. Limitation of Liability

LG, its parents, subsidiaries, affiliates, successors, assigns, suppliers, and licensors, and each of their officers, shareholders, managers, employees, agents, directors, and licensees (collectively, the "Released Parties") shall not be liable for any of the following types of damages should they arise in connection with your use of or inability to use the Store or any Products acquired via the Store: (a) indirect, incidental, special, punitive, consequential, statutory, or exemplary damages; (b) loss of profits, revenue, business, goodwill, use, or data, in all cases whether direct or indirect; (c) damages, including for any delay or failure in performance, arising from causes beyond the reasonable control of the Released Parties; (d) damages arising from the conduct of other users of the Store or their User Content; or (e) damages relating to the delay, failure, interruption, disclosure, or corruption of any data or information transmitted in connection with the Store.

Further, in no event shall the collective liability of the Released Parties in connection with any Dispute exceed the greater of (a) $250 USD or (b) the total amount paid by you to LG in connection with Orders placed on the Store in the twelve (12) months preceding the date on which your claim arose (or, if the Dispute involves multiple claims, the date on which the first such claim arose).

The Terms of this Section 19(B) shall apply to the fullest extent permitted by applicable law, regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise, and even if any remedy fails of its essential purpose. You acknowledge and agree that the limitations of liability set forth in this Section 19(B) are fundamental elements of the basis of the bargain between you and LG, and that we would not be able to provide the Store or any Products without such limitations.

C. Additional Rights

For purposes of these terms, "Warranty and Liability Exclusions" means any disclaimers of warranties and/or any exclusions, limitations, or caps on liability. Some jurisdictions do not permit the disclaimer of certain Warranty and Liability Exclusions. Accordingly, some of the Warranty and Liability Exclusions in these Terms might not apply to you, either in whole or in part. Nothing in these terms seeks to impose Warranty and Liability Exclusions in a manner that is prohibited under applicable law. You agree, however, that all Warranty and Liability Exclusions in these Terms, whether in Section 19 or elsewhere, shall apply to the greatest extent permitted by applicable law.

20. Indemnification

You agree to indemnify, hold harmless, and, at their option, defend the Released Parties from and against any and all liabilities, claims, damages, costs, and expenses, including attorneys' fees and costs, arising from or related to (a) your breach of these Terms; (b) any User Content you share; (c) your interactions with other users; and (d) your violation of any law or the rights of any third party. You agree that the Released Parties shall have the right to assume exclusive defense and control of any matter subject to indemnification by you and you agree to cooperate if and as requested by us in the defense and settlement of such matter. If a Released Party assumes defense and control of any such matter, this shall not relieve you of your indemnification obligations. You agree never to settle any matter for which your indemnification is required absent our prior written consent.

Separately, if you initiate, or threaten to initiate, any litigation, arbitration, or otherwise assert any claim against the Released Parties that is based or relies, in whole or in part, upon a repudiation or breach of any promises, representations, warranties, agreements, or consents that you have made or provided pursuant to these Terms (collectively "Prohibited Legal Actions"), you agree to indemnify the Released Parties from and against any liabilities, claims, damages, costs, and expenses, including attorneys' fees and costs, arising from or related to the Prohibited Legal Action or your threat of the same.

Without limiting the foregoing, you agree to indemnify LG for claims arising from your installation, modification, repair, misuse, or operation of any Product purchased through the Store.

21. Dispute Resolution

Before initiating formal legal proceedings, customers are encouraged to contact LG Customer Support to allow an opportunity to resolve disputes informally.

Where permitted by applicable law and expressly adopted in the final published version of these Terms, disputes may be resolved through binding arbitration administered by a recognized arbitration organization.

If arbitration is adopted, the published Terms should also address:

• arbitration procedures;
• location of arbitration;
• allocation of arbitration costs;
• exceptions for small claims actions;
• class action waiver (where enforceable).

Except as is otherwise set forth herein, any controversy, dispute, claim or breach arising out of or relating to this Agreement shall be resolved exclusively by final and binding arbitration to be held in the venue set forth in Section 21 herein, by the AAA. The arbitration proceeding shall be governed by the following rules:

1. Prior to instituting any arbitration, the Parties shall in good faith attempt to resolve any claim or controversy promptly by negotiations between senior executives of the Parties (if appropriate, with their respective counsel). If the Parties are unable to resolve any claim or controversy, the dispute shall be resolved by binding arbitration.
2. Written notice of a demand for arbitration must be mailed to the other Party and filed with the AAA pursuant to the notice provisions set forth at Section 19. The demand for arbitration shall identify the Section(s) of this Agreement alleged to have been breached and shall state in reasonable detail a description of the breaching acts or omissions, the issue(s) proposed to be submitted to arbitration and the remedy(ies) sought.
3. The arbitration proceeding shall be governed by the AAA's Commercial Arbitration Rules ("Rules") in effect at the time of the arbitration request to the extent that such Rules are not inconsistent with the terms of this Section 21.
4. Any arbitration shall be before a single neutral arbitrator experienced in the field of motor carriage and the home delivery of retail products as selected by the Parties under then applicable AAA rules.
5. This arbitration provision shall not be applicable to any controversy seeking equitable relief.
6. As to any dispute or controversy which under the terms of this Agreement is a proper subject for arbitration, no suit at law based on such dispute or controversy shall be instituted by either Party other than a suit to conform, enforce, vacate, modify or correct the award of the arbitrator as provided by applicable law. Should the decision of the arbitrator be challenged, in addition to the criteria of review under applicable law, the arbitrator may be overturned for a manifest disregard of the law.
7. The Parties agree that the arbitration shall give effect to the substantive law of the venue provided for in Section 30, including but not limited to statutes of limitation, and matters pertaining to the validity of this arbitration clause in determining matters submitted to arbitration hereunder. In doing so, the arbitrator(s) shall not be required to do independent legal research, and shall be entitled to rely upon briefs and memoranda of law submitted by counsel for the parties.
8. The costs of the arbitration, including the fees and expenses of the arbitrator, shall be borne by the Parties to the arbitration in equal shares, except that each Party to this Agreement shall bear the expense of its own counsel, experts, witnesses, and preparation and presentation of proofs.
9. The Parties agree that no dispute shall be consolidated with any other arbitration proceeding for any reason without the consent of all Parties hereto.
10. It is the intent of the Parties that the testimony of witnesses in any arbitration hereunder be subject to cross-examination.
11. Any arbitration decision, including any award or portion thereof, whether preliminary or final, shall be in a writing signed by the arbitrator and shall state the reasons for the decision in reasonable detail, including the legal basis for such decision.

22. Choice of Law & Forum

A. Choice of Law

These Terms and your use of the Store shall be governed by the laws of the United States and the State of New Jersey, without regard to principles of conflict of laws. Any arbitration conducted pursuant to these Terms shall be governed by the Federal Arbitration Act, 9 U.S.C., Secs. 1-16.

B. Forum for Non-Arbitrated Disputes

Except for claims properly lodged in a small claims court in the United States, any disputes not subject to arbitration pursuant to Section 21 shall be resolved by a court located in the State of New Jersey, and you hereby agree and submit to the exercise of personal jurisdiction of such courts for the purpose of litigating any such claim or action.

23. Termination of these Terms

These Terms will continue to apply until terminated by either you or LG. We may terminate these Terms, or suspend or terminate your access to the Store, at any time (a) if we believe you have breached these Terms, (b) if we stop providing the Store or any material component thereof, or (c) as we believe necessary to comply with applicable law. You may terminate these Terms at any time by discontinuing your use of the Store and, if applicable, deleting your Account.

If you or we terminate these Terms, or if we suspend or terminate your access to the Store, you agree that (a) your right to access and use the Store ceases immediately; (b) we shall have no liability to you in connection with the same; and (c) except as expressly provided otherwise by LG, we will not refund any amounts that you have already paid to us. Notwithstanding the preceding sentence, if you voluntarily terminate these Terms, and you are not barred from using the Store by LG or applicable law, you are permitted to resume use of the Store at a later date. You agree that any such resumed use of the Store constitutes your renewed acceptance of the then-current version of these Terms.

The following provisions shall survive the termination of these Terms: Sections 1, 5, 6, 8, 10, 12, 19, 20, 21, 22, and 24, as well as any other provisions of these Terms that, either explicitly or by their nature, must remain in effect even after termination of these Terms.

24. Miscellaneous

A. Interpretation

In these Terms, the words "include," "includes," and "including" are used in an illustrative sense and shall be construed as if followed by "without limitation," and the term "or" shall not be exclusive. Titles and headings to sections herein are included for convenience only and are not intended to affect the meaning or interpretation of these Terms. Any limited or specific disclaimers or limitations of liability found in these Terms shall not limit the effect, force, or breadth of any more general disclaimers or limitations of liability in these Terms. When these Terms refer to a decision or action that will or may be made or taken by LG, such decision or action shall be made, taken, or refrained from in our sole discretion and judgment.

B. Severability

If any provision of these Terms is deemed invalid, void, or for any reason unenforceable by a court or authority of competent jurisdiction, such provision shall be deemed severable and shall not affect the validity of the remaining provisions of these Terms, which shall remain in full force and effect.

C. Waiver

The failure of you or LG to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision.

D. Entire Agreement

These Terms (including, for avoidance of doubt, any Additional Terms) set forth the entire understanding and agreement between you and LG with respect to your use of the Store.

E. Assignment

You may not assign, transfer, or sublicense any or all of your rights or obligations under these Terms without our express prior written consent. We may assign, transfer, or sublicense any or all of our rights or obligations under these Terms without restriction.

F. No Relationship

These Terms do not, and shall not be construed to, create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between you and LG.

G. Compliance with Laws

LG controls and operates the Store from within the United States and makes no representation or warranty that the Store are appropriate or available for use or access in any location outside of the United States. Anyone using or accessing the Store from outside the United States does so on their own risk and is responsible for compliance with all applicable laws and regulations, including U.S. and international export control laws and regulations.

H. Notice to California Residents

If you are a California resident, with respect to any Warranty and Liability Exclusions in these Terms, you hereby waive California Civil Code Section 1542, which states, "A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party."

I. Admissibility

You agree that all agreements, notices, disclosures, and other communications that LG provides to you (a) via a notice on the Store or (b) an email to an address that we have on file for you will satisfy any legal requirement that such communications be in writing. You further agree that a printed version of these Terms and/or any notice given in electronic form shall be admissible in judicial or administrative proceedings (including arbitration) based upon or relating to these Terms or your use of the Store to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

J. Changes to these Terms

These Terms may be modified by LG at any time. If we modify these Terms, we will provide notice to you by updating the "Effective Date" above. For material changes, we will seek to supplement such notice by email, a notice on the Store, or other reasonable means. Your continued use of the Store after any changes constitutes your agreement to be bound by the Terms as modified.
